Terms of Service
These Terms of Service (the “Terms”) are a binding agreement between Waydispatch (“Waydispatch,” “we,” “us”) and the business or organization you represent (“Customer,” “you”) governing use of the Waydispatch route optimization platform at waydispatch.com (the “Service”). By creating an account, checking the acceptance box at signup, or using the Service, you accept these Terms. If you do not agree, do not use the Service.
1. Eligibility and accounts
- The Service is offered to businesses only and is not intended for personal, family, or household use. You represent that you are at least 18 years old and have authority to bind the organization you sign up for.
- You are responsible for your account credentials, for all activity under your workspace, and for ensuring your team members comply with these Terms. Notify us promptly at [email protected] if you suspect unauthorized access.
- You must provide accurate account and billing information and keep it current.
2. The Service
- Waydispatch lets you import parcel orders, validate delivery addresses, plan and optimize driver routes, and export or dispatch the results.
- We may add, change, or remove features. Features labeled beta, preview, or experimental are provided for evaluation, may change or be withdrawn at any time, and are excluded from any commitments in these Terms.
- We may impose reasonable technical limits (such as import sizes, optimization stop counts, and request rates) to protect the Service.
3. Your data
- You own your data. All orders, recipient details, addresses, drivers, depots, and route plans you submit (“Customer Data”) remain yours. You grant us a limited license to host and process Customer Data solely to provide, secure, and improve the Service as described in the Privacy Policy.
- You are responsible for its lawfulness. Customer Data includes personal information about your delivery recipients and drivers. You represent that you have the legal right to collect that information and provide it to us for processing, and that doing so complies with applicable law and your own privacy commitments.
- You can export and delete Customer Data at any time using the tools in the application. Retention and deletion schedules are described in the Privacy Policy.
4. Route results are estimates
- Optimized routes, drive times, mileage, arrival estimates, and address validation results are estimates produced from third-party map data and mathematical optimization. They may be incomplete, outdated, or wrong, and real-world conditions (traffic, weather, closures, vehicle restrictions) are not guaranteed to be reflected.
- Your drivers remain solely responsible for operating vehicles safely, obeying traffic laws, and exercising independent judgment. Route output is planning assistance, not driving instructions.
- The Service is not designed for emergency response, hazardous-materials routing, or any use where routing errors could cause injury, death, or significant property damage, and must not be used for those purposes.
5. Acceptable use
Use of the Service is subject to the Acceptable Use Policy below, which is part of these Terms.
6. Subscriptions and payment
- Paid plans are billed in advance on a monthly subscription basis at the prices shown at signup or on our pricing page, plus any usage-based charges (such as optimized-stop overage) described there. Prices exclude taxes; you are responsible for applicable sales and use taxes.
- Payments are processed by Stripe. By subscribing you authorize recurring charges to your payment method until you cancel.
- You may cancel at any time from the billing page; cancellation takes effect at the end of the current billing period. Except where required by law, fees are non-refundable and partial periods are not prorated.
- We may change prices or plan limits with at least 30 days’ notice; changes apply from your next billing period. If your account is past due, we may suspend access after notice until payment is made.
7. Third-party services
The Service depends on third-party infrastructure and data providers (listed under Subprocessors), including map, geocoding, and routing data providers. We are not responsible for the accuracy or availability of third-party data, and you may not extract, resell, or use map or routing data obtained through the Service except as part of your normal use of the Service.
8. Intellectual property; feedback
- Waydispatch owns the Service, including its software, design, and documentation. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business operations during your subscription.
- If you send us feedback or suggestions, we may use them without restriction or obligation to you.
9. Confidentiality
Each party will protect the other’s non-public information with at least reasonable care and use it only as needed to perform under these Terms. This does not restrict disclosures required by law, provided reasonable advance notice is given where lawful.
10. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYDISPATCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ROUTE OUTPUT WILL BE ACCURATE OR OPTIMAL.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) WAYDISPATCH’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE PAID NOTHING). THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS, YOUR INDEMNIFICATION OBLIGATIONS, OR EITHER PARTY’S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
12. Indemnification
You will defend and indemnify Waydispatch against third-party claims arising from Customer Data, your use of the Service in violation of these Terms or applicable law, or your delivery operations (including driving, delivery outcomes, and interactions with your delivery recipients).
13. Suspension and termination
- You may stop using the Service and delete your account at any time from the application settings.
- We may suspend or terminate access for material breach of these Terms (including the Acceptable Use Policy), non-payment after notice, or where necessary to protect the Service, other customers, or comply with law. Where practical, we will notify you and give you an opportunity to cure.
- Upon termination you should export Customer Data promptly; deletion then follows the retention schedule in the Privacy Policy. Sections 3–4 and 7–16 survive termination.
14. Changes to these Terms
We may update these Terms from time to time. For material changes, we will give notice by email or in the application at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not agree, stop using the Service and cancel before the changes take effect.
15. Governing law and venue
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. The state and federal courts located in Smith County, Texas have exclusive jurisdiction over disputes arising out of these Terms, and each party consents to personal jurisdiction there.
16. General
These Terms, together with the Acceptable Use Policy and Privacy Policy, are the entire agreement between the parties regarding the Service and supersede prior agreements on the subject. You may not assign these Terms without our consent, except to a successor in a merger or sale of substantially all assets; we may assign them in connection with such a transaction. If any provision is unenforceable, the remainder stays in effect. A party’s failure to enforce a provision is not a waiver. Notices to us go to [email protected]; notices to you go to your account email.
Acceptable Use Policy
This Acceptable Use Policy applies to everyone who uses Waydispatch and is part of the Terms of Service. You may not, and may not permit anyone else to:
- Use the Service in violation of any applicable law, or upload personal information (including recipient names and addresses) you do not have the legal right to process;
- Upload malicious code, or content you do not have rights to;
- Probe, scan, or test the vulnerability of the Service, bypass authentication or access controls, or access data belonging to another organization;
- Circumvent rate limits, usage limits, or plan restrictions, including by creating multiple accounts or workspaces to avoid them;
- Scrape, bulk-extract, cache for redistribution, or resell map, geocoding, or routing data obtained through the Service — third-party data providers’ terms prohibit this and apply to your use;
- Use the Service to build a competing product, or reverse engineer the Service except to the extent the law permits notwithstanding this restriction;
- Resell, sublicense, or provide the Service to third parties as a service bureau without our written agreement;
- Use the Service for emergency response or any high-risk routing purpose (see Terms, Section 4);
- Misrepresent your identity or organization, or send unsolicited communications through any Service feature.
We may investigate suspected violations and may throttle, suspend, or terminate accounts that violate this policy, with notice where practical. Report abuse to [email protected].
Privacy Policy
Waydispatch (“we,” “our,” or “us”) provides a parcel-delivery route optimization platform. This Privacy Policy explains what information we collect, how we use it, and the choices available to you when you use waydispatch.com and the Waydispatch application (collectively, the “Service”).
1. Information we collect
Information you provide directly.
- Account information. Your email address, name, and password (stored as a one-way hash via Supabase Auth — we never see your plaintext password).
- Organization information. Your organization name, depot address, and workspace preferences.
- Operational data. Parcel order data you import — recipient names, delivery addresses, tracking numbers, package counts, and optional notes — and driver details you add (names, phone numbers, email addresses, vehicles). You control this data; we process it on your behalf to provide the Service.
- Subscription data. Stripe collects your payment information directly. We store only your Stripe customer ID and subscription status — never card numbers.
- Communications. Your email address and message content when you contact us.
Information collected automatically.
- Authentication events. Sign-in, sign-up, sign-out, and password-change events with timestamps and request metadata (such as IP address and user agent), used for security monitoring and retained for 365 days.
- Usage analytics. Internal platform metrics (request counts, feature usage volumes, optimization job metrics), accessible only to platform administrators. These aggregates contain no recipient names, addresses, or route details.
2. How we use information
- Provide, maintain, and improve the Service — route optimization, address validation, stop sequencing, driver assignment, and route export;
- Authenticate your account and enforce organization-scoped access controls;
- Process subscription payments and manage billing (via Stripe);
- Send transactional emails such as password resets, confirmations, and export/deletion receipts;
- Monitor platform health, prevent fraud and abuse, and enforce our policies;
- Comply with legal obligations.
We do not use your data for advertising or sell your data. We do not use Customer Data to train machine-learning models.
3. How we share information
- Service providers. We share data with the vendors listed under Subprocessors, only as needed to run the Service. In particular: delivery and depot addresses (street, city, state, ZIP — never recipient names or tracking numbers) are sent to Geoapify for geocoding, and only geographic coordinates (latitude/longitude — no names or addresses) are sent to Geoapify for travel-time and route calculations.
- Within your organization. Members of your workspace can see the orders, routes, drivers, and depots in that workspace, subject to role-based permissions.
- Legal compliance. We may disclose information when required by law or to protect rights and safety.
- Business transfers. In a merger, acquisition, or asset sale, your information may transfer; we will notify you before it becomes subject to a different privacy policy.
4. Data retention
- Completed and failed route plans are automatically deleted after 90 days.
- Abandoned or incomplete route plans and imports are automatically deleted after 30 days.
- Authentication event logs are retained for 365 days, then purged.
- Active account and operational data is retained while your workspace is in use; deleting workspace data or your account permanently removes the associated records.
- Subscription records are retained as required for tax and accounting purposes.
Retention is enforced by an automated daily cleanup job. Data subject to a legal hold may be preserved beyond these windows until the hold expires.
5. Your rights and choices
- Access and export. Export your operational data (orders, route plans, drivers, depots) from within the application.
- Delete. Delete workspace data, or permanently delete your entire account and all associated data, from the application settings. Deletion is irreversible and confirmed by email.
- Correct. Update profile, organization, depot, and order address data in the application.
- Communications. We send only transactional email; there is no marketing email to opt out of.
Depending on your state of residence, you may have additional rights (such as access, deletion, and correction rights under state privacy laws). To exercise any right, use the in-app tools or contact [email protected]; we respond to verified requests within 45 days. Note that for delivery-recipient information, our customer (the business that uploaded it) controls that data — recipients should direct requests to the delivery business, and we will assist our customer in fulfilling them.
6. Data security
- TLS encryption in transit; encryption at rest in Supabase Postgres;
- Passwords hashed by Supabase Auth; HTTP-only, Secure, SameSite session cookies;
- Row Level Security on all database tables, enforcing organization-scoped access;
- Role-based permissions (owner, admin, dispatcher, viewer) within each workspace.
No method of electronic transmission or storage is 100% secure; we cannot guarantee absolute security.
7. Children’s privacy
The Service is a business tool and is not directed to individuals under 18. We do not knowingly collect personal information from children; if we learn we have, we will delete it promptly.
8. Changes to this policy
We may update this Privacy Policy. For material changes we will notify you by email or a prominent in-app notice, and the “Last updated” date above will change. Continued use after changes take effect constitutes acceptance.

Subprocessors
We use the following third-party subprocessors to operate the Service. Each processes data only as needed for the purpose listed and under its own security and privacy commitments.
